Lien waiver

A lien waiver is a document a contractor or supplier signs giving up their right to file a mechanics lien for a specific payment — conditional ones take effect once the check clears, unconditional ones take effect on signing.

Owners and GCs require lien waivers before releasing payment, precisely to prevent the scenario where they pay a sub and that sub, or their supplier, still files a lien for the same work. A conditional waiver only becomes effective once payment actually clears; an unconditional one is effective immediately on signing — a meaningful difference if the check bounces.

On a job with dozens of subs and suppliers, tracking which waiver is conditional, which is unconditional, which needs to go out before payment, and which needs to come back after, becomes its own administrative project — and a missed waiver is real legal exposure, not just paperwork.

A GC processes a $30,000 progress payment to a drywall sub. Before releasing the check, they collect a conditional waiver for that amount; once the check clears, the sub's next pay app includes an unconditional waiver for the prior payment, closing the loop.
